General Terms and Conditions of the Auction:

Pursuant to Section 58.1-3967 et seq., of the Code of Virginia (1950) as amended, the undersigned Assistant City Attorney and Special Commissioner will offer for sale, on Wednesday, April 21, 2021, beginning at 12:00 NOON, or as soon thereafter as time permits, at the Berglund Center’s Special Events Center, located at 710 Williamson Road, N.E., Roanoke, Virginia, the properties described below for non-payment of taxes and nuisance abatement assessments, pursuant to Decrees of Sale entered by the Circuit Court for the City of Roanoke, Virginia, in the cases indicated below. The terms and conditions stated below shall apply to both judicial sales and nonjudicial sales, except where expressly indicated otherwise:

 

Terms of Sale:  CASH, BANK CHECK OR CERTIFIED FUNDS—NO PERSONAL OR BUSINESS CHECKS WILL BE ACCEPTED.

 

An earnest money deposit is required by the high bidder of each property at the time of sale.  The amount of the earnest money deposit shall be equal to the greater of (i) 25% of the purchase price; or (ii) $500 for unimproved lots or $1,000 for improved lots with structures.  The balance of the purchase price is due in cash within 5 calendar days of the sale.  However, in the event the purchase price of any property is $1,000 or less, the full amount of the purchase price must be paid at the time of sale.  In the event the balance of each bid amount is not paid in full within such time, purchasers are advised that their deposits may be forfeited, subject to court approval. Cash, bank check or certified funds only - no personal or business checks will be accepted.

 

5% Buyers premium of the amount of the purchase price, in addition to deed recording costs, are due in addition to bid amount and to be paid by purchaser. Other terms and conditions of sales to be announced at sale time and shall take precedence over the terms and conditions of this ad to the extent of any inconsistency. Owner’s Redemption Rights to redeem the property and remove it from sale (§58.1-3974 of the Code of Virginia) shall expire at 4:00 p.m., April 20, 2021, unless full payment of all taxes, costs, (including nuisance abatement costs) and legal fees are made by cash or certified funds to the Special Commissioner by that time at 215 Church Avenue, SW, Room 464, Roanoke, Virginia 24016, (540) 853-2431.

 

*** Title to Property for Judicial Sales Only - to be conveyed by Special Commissioner Special Warranty Deed, free and clear of all liens, including real estate taxes which will be prorated (any buyer’s share due at sale) and third-party liens (e.g. judgment creditor liens, deeds of trusts, etc). Owner will be responsible for real estate taxes from the date of the sale.  All sales are subject to confirmation by the Circuit Court of the City of Roanoke. In the event a sale is not approved by the court, all monies will be refunded to purchaser.

 

***Title to Property for Nonjudicial Sales Only-to be conveyed by non-warranty Treasurer’s Deed, free and clear of all tax liens and nuisance abatement liens held by the City of Roanoke.  Real estate taxes will be prorated.   The successful bidder will be responsible for real estate taxes from the date of the sale. PLEASE BE ADVISED THAT NONJUDICIAL SALE PROPERTIES WILL NOT BE SOLD FREE AND CLEAR OF THIRD-PARTY LIENS (E.G. JUDGEMENT CREDITOR LIENS OR DEEDS OF TRUSTS, ETC.). Interested bidders are therefore encouraged to examine the land records to ascertain any liens or encumbrances existing against those properties in their discretion and at their sole expense.  These sales are not subject to court approval.

 

No warranties or representations are made by the City of Roanoke or the Special Commissioner regarding the condition or suitability of the properties.  All properties are sold “AS IS” “WHERE IS” WITH ALL FAULTS subject to the rights of any person in possession and to all easements, liens, covenants, defects, encumbrances, adverse claims, conditions, and restrictions, whether filed or inchoate, and any information a survey or inspection of the property would disclose.  All settlement, recordation fees and prorated taxes shall be paid by Purchaser. ALL SALES ARE FINAL.   BUYER BEARS THE RISK OF LOSS TO THE PROPERTY FROM THE DATE OF THE SALE.  Bidders are encouraged to view the exterior of the properties from the public right of way, and to examine available public records to ascertain the condition of the properties.

 

All bidders shall be required to certify, by affidavit, that he or she does not own, directly or indirectly, any outstanding taxes (real estate or otherwise) and misc. debt to the City of Roanoke. Bidders not meeting these requirements shall be ineligible to bid.

Covid-19 Precautions: Per Berglund Center Policy, all persons will be required to wear masks and undergo body temperature screening prior to entry. Masks will be available for sale at entrance. Persons having a body temperature of 100.4 Fº or higher will not be allowed entry.

 

On-Line Bidding: The tax sale shall be conducted live and online simultaneously. Bidders may bid remotely.

ADDITIONAL TERMS FOR ONLINE REGISTRATION AND BIDDING

Online bidders must complete the following online registration steps prior to April 19th @ 5pm. In order to bid online, these steps must be completed. There will be no exceptions.

 

  1. COMPLETE THE ONLINE REGISTRATION FORM: Complete the Online Registration Form within the auction bidding platform:  https://bit.ly/3teSRy4.
  2. SUBMIT A BIDDER QUALIFICATION FORM to Robin.viohl@roanokeva.gov with the Roanoke City Treasurer’s Office.
  3. WAIT FOR ROANOKE CITY’S APPROVAL: The City must verify that every applicant has no outstanding real estate taxes or code enforcement violations.
  4. WALKER WILL APPROVE REGISTRATION: Once the City approves bidder’s registration, Walker will place a $1,000 hold on bidder’s credit card provided on the initial online registration form. At this point your will be eligible to bid online.

 

In order to bid online, these steps must be completed. There will be no exceptions.  Successful online bidders will be required to electronically sign the Memorandum of Sale immediately following the sale. This document will be emailed to the bidder via Docusign.  If the $1,000 deposit exceeds the purchase price (high bid price + 5% buyers premium) the bidder’s credit card will be refunded for the difference within 48 hours. If the purchase price exceeds the $1,000 deposit, the deposit is non-refundable, except if the Circuit Court denies confirmation of the sale. The bidder will be required to pay the remaining balance of the purchase price to the City of Roanoke Treasurer’s office within 5 business days of the sale. Cash, bank check or certified funds only - no personal or business checks will be accepted.   1. Buyer’s Premium:  There will be a 5% buyer’s premium in effect on day of sale. The buyer’s premium is added to the high bid amount, to determine the contract sales price. Example: high bid price of $100,000 x 5% = $5,000.  $100,000 + $5,000 = $105,000 “Purchase Price”.
  2. “As-Is”, “Where-Is”: The property is being sold “AS-IS”, “WHERE-IS”.  Potential Buyers must perform such independent investigations with respect to the property as they deem necessary to verify information provided by Auction Company or the Seller.
  3. Advertisements: All information provided by Auction Company and the Seller is deemed reliable but is not warranted. The information contained in this brochure and any advertisements by Auction Company are subject to verification by all parties relying on it.  No liability for its accuracy, error or omission is assumed by the Auction Company or the Seller.
  4. Representation: Auction Company and its representatives represent the Seller.
  5. Bid Increments:  Auctioneer reserves the right to set bid increments.
  6. Closing: The balance of Purchase Price is due to the seller by close of business thirty (30) days after the winning auction date. Time is of the Essence.
  7. Announcements: Announcements made on the day of sale by the Auctioneer take precedence over all prior communications and announcements, both verbal and written, concerning the sale or the property.
  8. Bidding:  All Bidding is open to the public without regard to race, color, sex, religion, or national origin. As used in these conditions of sale the term "the final bid" means the highest bid acknowledged by the Auctioneer, and the term "Purchase Price" means the sum of the final bid and the Buyer’s Premium. The highest bidder acknowledged by the Auctioneer shall be the buyer. Auctioneer reserves the right to set bid increments.  Should there be any dispute after the sale, the record of final sale shall be conclusive. 
  9. Bidder's Card: All Bidders are required to have a Bidder's Number to bid. To obtain a Bidder's Number, you must be registered.  
  10. Closing Costs: The Deed shall be prepared and acknowledged by Seller at Seller’s expense and recorded at the expense of Buyer, except for the Grantor’s Tax which will be paid by the Seller. The Buyer shall pay all title searches, title insurance charges, survey expenses, usual conveyance expenses, and recordation taxes. Real estate taxes, water and sewer charges, if any, will be prorated as of the date of sale. 
  11. Deed: The properties will be conveyed by via Special or General Warranty Deeds, depending upon the title work.
  12. Financing: Sale of the property is not contingent upon the Buyer obtaining financing. 
  13. Inspection: All property is sold "As Is, With All Faults.”  Description and other information are provided as a service to customers only and do not constitute a representation or warranty, either expressed or implied. Seller and Auctioneer disclaim all responsibility for physical condition. All buyers are responsible for prior inspection of properties on which they bid, and by bidding are deemed to have so inspected the property. Seller and Auctioneer are not responsible for delivering possession of the property, which is solely the responsibility of Buyer.
  14. Bid Execution & Technical Problems: Bids are accepted live/onsite, in addition to the Internet. Walker is not responsible for failing to execute bids due to Auction Company’s or bidder’s technological difficulties. Walker has made reasonable efforts to provide for online bidding for this sale. You recognize and acknowledge, however, that technical problems with hardware, software or internet connectivity, as well as human errors, may arise and may affect, without limitation, the sale website, our online bidding program and process, your or our internet service and access, and your connection to this sale bidding program and process. You further acknowledge that these and other technical problems may develop at any time and with or without notice. You acknowledge and agree that neither Walker nor the Seller is in anyway responsible for any such technical problems, and that you have no absolute or other right to be able to bid on this sale in the event of any such technical problems. Notwithstanding the foregoing, you further acknowledge and agree that, in the event of any such technical problems, we reserve the right to postpone or cancel the sale and/or extend the bidding time for this sale and/or relist the property for sale at another time, in our sole discretion, and that our decision with regard to any such actions is and will be final.  Bidders must take care in entering bids, and each Bidder will be responsible for all bids placed under the Bidder’s approved registration. Once entered and recorded online, a bid is deemed to be final on behalf of the registered Bidder and may not be modified, retracted or rescinded in whole or in part.   In addition to forfeiting the bidder’s deposit, the bidder will also be subject to lawsuit for Damages and/or Specific Performance in the Court of Law of which the property is located.  Further, all Attorneys' Fees incurred by the Seller and/or the Auction Company will be due and paid by a defaulting bidder.

 

CASTING A BID FOR THE PROPERTY WHETHER IN PERSON OR ONLINE CONSTITUTES ACCEPTANCE OF ALL OF THE FOREGOING TERMS AND CONDITIONS, INCLUDING ANNOUNCEMENTS AT THE SALE AND THE TERMS OF THE CONTRACT OF SALE WHICH, IF INCONSISTENT WITH ANY TERMS CONTAINED HEREIN, SHALL GOVERN.

 

ADDITIONAL TERMS FOR BIDDING ON-SITE

  1. REGISTRATION: Bids will only be accepted from registered bidders. You will be required to show your driver’s license and your cashier’s check for the designated deposit amount (see table above), to register to bid.
  2. DEPOSIT: The successful bidder will be required to sign a Contract of Sale, immediately following the falling of the hammer, and the cashier’s check will be deposited into Walker Commercial Services’ escrow account. The deposit will be applied to the contract sale price at closing.  The deposit is non-refundable, unless the Seller cannot convey title.  Closing to take place within 30 days of sale.  Time is of the Essence. 

 

ADDITIONAL TERMS FOR BIDDING ON-LINE

The on-line bidding will be simultaneous with the live bidding until the high bid is achieved.

  1. REGISTRATION: Complete the Online Registration Form found on the online auction website, providing full name, complete physical address, current working email and phone number(s), and credit card information.
  1. DEPOSIT:
  1. Mail a cashier’s check payable to Walker Commercial Services, Inc. at the address listed in reference table above, for the deposit amount listed in the table above; or
  2. Wire funds to the escrow account for the deposit amount listed in the table above plus a $35.00 convenience fee to cover the wire transfer charge. For wiring instructions please contact Walker Commercial Services, Inc. Note:  Generally, wires must be initiated prior to 2:00 PM in order to clear by 5:00 PM; or
  3. Allow the Auction Company to place a hold on your credit/debit card for the deposit amount listed in the table above. If you are the high bidder, you will have the option to have your credit card charged for the deposit amount plus an additional 3% processing fee. Alternatively, you can choose to wire funds or mail in a cashier’s check within 2 business days of the end of the auction.  If you choose to wire or mail in funds, the credit card hold will remain in place until your deposit has been received.

 

In order to bid online, all of these steps must be completed prior to the online deadline listed in reference table above. Once completed, the auction company will approve your registration and you will be eligible to bid online.  There will be no exceptions. Walker will have the option to speak with all online bidders.  The successful bidder will be required to sign an electronic version of the Contract of Sale at the conclusion of the sale which shall be completed and returned to Walker within 12 hours or to not be unreasonably withheld or delayed. By completing the steps above, you agree to all of the terms and conditions of the sale.

 

**NOTE: High bidders using a credit card must contact Walker immediately following the auction, to identify which deposit type (check, wire, or credit card) that will be used for the final deposit which will accompany the electronic Contract of Sale. If we are unable to reach you immediately following the auction, we will authorize a withdrawal from your credit card for the deposit amount (plus the 3% processing fee). Deposits from high bidders become NON-REFUNDABLE immediately following the auction. Deposits will be applied to the purchase price at closing. Credit Card deposits for non-winning bidders will be released within 24 hours of the end of the auction. Check deposits made by the non-winning bidders will be returned by check in the mail, or can be picked up at the offices of the Auction Company, three business days after the end of the auction between the hours of 9:00 a.m. and 5:00 p.m.  Checks that are not picked up will be automatically mailed to the address provided at registration.
